These Terms and Conditions ("Terms") govern your use of the Cherriepick website and the purchase and export of spices and related products ("Products") from Cherriepick Spices Pvt Ltd ("Cherriepick", "we", "us", or "our"). By accessing our website, submitting an enquiry, or placing an order, you agree to be bound by these Terms.
1. Company Information
Cherriepick Spices Pvt Ltd is a private limited company registered in Kerala, India, engaged in the export of spices including black pepper, green cardamom, and turmeric. Our registered office is located at Kochar Road, near Krishna Temple, Jagathy, Thiruvananthapuram, Kerala 695014, India.
2. Product Information
All product descriptions, specifications, grades, and certifications displayed on our website are provided in good faith and are based on standard industry classifications. We reserve the right to modify specifications to comply with regulatory changes or to improve quality. Product images are for illustrative purposes and may not represent the exact appearance of delivered goods.
3. Enquiries and Quotations
- All enquiries submitted through our website are non-binding.
- Quotations are valid for the period stated in the quote or, if unstated, for fifteen (15) calendar days from the date of issue.
- Prices are quoted on the basis of the Incoterm specified (typically FOB, CIF, or EXW) and currency stated.
- We reserve the right to revise quotations in the event of significant currency fluctuation, changes in commodity prices, or regulatory changes.
4. Orders and Acceptance
- A binding contract is formed only upon our issuance of a Sales Confirmation or Proforma Invoice and your written acceptance or payment of the advance deposit.
- Minimum Order Quantities (MOQ) apply per product and are specified in quotations.
- We reserve the right to refuse any order without giving reasons.
5. Pricing and Payment
- Prices are exclusive of applicable taxes, duties, and shipping costs unless otherwise stated.
- Payment terms are typically 30% advance upon order confirmation and 70% against scanned Bill of Lading (B/L), unless otherwise agreed in writing.
- Accepted payment methods: Telegraphic Transfer (T/T), Letter of Credit (L/C), and other methods as mutually agreed.
- All bank charges outside India are for the buyer's account.
- Late payments may incur interest at the rate of 1.5% per month on the outstanding amount.
6. Samples
- Sample requests are subject to availability and our approval.
- Sample quantities up to 250g per product may be provided free of charge; courier/shipping costs are borne by the requesting party.
- Larger sample quantities may be charged at prevailing market rates.
- Sample quality is representative but does not constitute a guarantee of bulk shipment quality. Bulk shipment quality is governed by the agreed contract specifications and quality certificates.
7. Shipping and Delivery
- Delivery timelines are estimates and commence from the date of advance payment receipt and confirmation of all export documentation.
- Standard delivery time is 2–4 weeks from order confirmation for FOB shipments from Cochin or Trivandrum ports, subject to vessel availability.
- We are not liable for delays caused by force majeure events including but not limited to: acts of God, war, strikes, government actions, port congestion, or shipping line disruptions.
- Risk transfers to the buyer according to the agreed Incoterm.
8. Quality and Inspection
- All shipments are inspected and certified by independent third-party agencies (SGS, Bureau Veritas, or equivalent) unless otherwise agreed.
- Quality certificates (including moisture content, volatile oil, piperine content, and microbiological reports) are provided with each shipment.
- Claims regarding quality must be submitted in writing within fifteen (15) days of goods arrival at the destination port, accompanied by the third-party inspection report.
- Our maximum liability for any claim is limited to the invoice value of the disputed goods.
9. Certifications and Compliance
Our products are processed and packed in FSSAI-licensed facilities. We hold APEDA registration and comply with US FDA requirements for food exports. Additional certifications (Organic, Fair Trade, ISO 22000) are available upon request and may incur additional charges.
10. Force Majeure
Neither party shall be liable for failure to perform obligations under these Terms if such failure is due to events beyond reasonable control, including natural disasters, government restrictions, pandemics, war, terrorism, or significant supply chain disruptions affecting the spice trade.
11. Intellectual Property
All content on this website, including text, images, logos, and product descriptions, is the property of Cherriepick Spices Pvt Ltd and is protected by Indian and international copyright laws. Unauthorised use, reproduction, or distribution is strictly prohibited.
12. Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of India. Any disputes arising from these Terms or any transaction shall be subject to the exclusive jurisdiction of the courts in Thiruvananthapuram, Kerala, India. Parties agree to attempt mediation before initiating litigation.
13. Amendments
We reserve the right to amend these Terms at any time. Changes will be effective upon posting to this page. Continued use of our website or services following any changes constitutes acceptance of the revised Terms.
